Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by HEIKIN ASHI TECH Spółka z Ograniczoną Odpowiedzialnością ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

We provide AI integration, IT system design, data processing, and related technology consulting services to businesses. Specific services, deliverables, timelines, and costs are defined in individual service agreements or statements of work.

3. Service Agreements

Detailed terms for specific projects are outlined in separate service agreements. These terms serve as general guidelines; the service agreement takes precedence in case of conflicts.

4. Client Responsibilities

Clients agree to:

• Provide accurate and complete information about their requirements
• Grant necessary access to systems and data as required for service delivery
• Respond to communications and requests in a timely manner
• Comply with applicable laws and regulations
• Maintain confidentiality of access credentials and security measures

5. Intellectual Property

Client Data: Clients retain all rights to their data and business information.

Deliverables: Ownership of custom work products is specified in the service agreement. Unless otherwise stated, clients receive a license to use deliverables for their business purposes.

Pre-existing Materials: We retain ownership of our proprietary tools, methodologies, and pre-existing intellectual property.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the course of the business relationship. This obligation survives termination of services.

7. Payment Terms

Payment terms, including fees, payment schedules, and accepted payment methods, are specified in individual service agreements. Late payments may incur additional fees as outlined in the agreement.

8. Warranties and Limitations of Liability

We strive to provide high-quality services but make no guarantees about specific business outcomes or results. Our liability is limited as specified in the service agreement, typically to the amount paid for the services in question.

We are not liable for indirect, incidental, or consequential damages arising from the use or inability to use our services.

9. Termination

Either party may terminate the service agreement according to the terms specified therein. Upon termination, clients remain responsible for payment of services rendered up to the termination date.

10. Indemnification

Clients agree to indemnify and hold harmless the Company from claims arising from their use of the services, violation of these terms, or infringement of third-party rights.

11. Governing Law

These terms are governed by the laws of Poland. Any disputes shall be resolved in the courts of Warsaw, Poland, unless otherwise specified in the service agreement.

12. Changes to Terms

We reserve the right to modify these terms at any time. Significant changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the updated terms.
